Terms & Conditions.

Effective Date: 2/25/26

Welcome to Stacq.io (“Stacq,” “we,” “us,” or “our”). By signing a service agreement, paying a deposit, or using our services, you (“Client,” “you,” or “your”) agree to the following Terms and Conditions.

Stacq operates as an infrastructure and platform governance provider, not a traditional web design agency. Our service is designed to migrate existing websites onto a stable, managed, and secure environment.

1. Scope of Services

Our core service is the site migration, which consists of rebuilding your existing website onto our managed enterprise infrastructure.

  • Included: Migration of existing text, media, structure, and functional destinations (e.g., existing forms, booking embeds).
  • Not Included: Content creation, copywriting, custom backend API development, brand strategy, or building new internal web applications/portals.
  • Scope Limits: Base Plans are capped at 50 pages, 3 integrations, and 50 redirects. Advanced Plans are capped at 100 pages, 6 integrations, and 100 redirects. Requests exceeding these caps require a paid upgrade.

2. Term, Billing, and Cancellation

  • Commitment Terms: Stacq subscriptions require a minimum term of either 12 months or 24 months, as selected during the onboarding process.
  • Setup Fees: A setup fee applies to 12-month agreements. This setup fee is fully waived if a 24-month agreement is selected.
  • Early Cancellation: Because we front-load the labor and infrastructure costs during the site migration, breaking the agreement prior to the end of your 12-month or 24-month minimum term will result in a cancellation fee.
  • No Agreement plans: No early cancellation fee applies.
  • 12-Month Agreement plans (basic/advanced): A flat $499 early cancellation fee applies if the minimum term has not been fulfilled and billing/trial countdown has already started.
  • 24-Month Basic Agreement: A flat $999 early cancellation fee applies under the same conditions.
  • 24-Month Advanced Agreement: A flat $1,499 early cancellation fee applies under the same conditions.
  • If cancellation occurs before the billing or free trial countdown has started, no early cancellation fee will apply, regardless of plan type. Upon cancellation, the Client's website will remain active until the end of the current billing cycle. After that date, the site will be unpublished, and the account will be placed in a 30-day grace period, during which the Client may request reactivation. After the 30-day grace period, the account and all associated data will be permanently deleted.
  • Free Trial: Your free trial period begins on the day your staging site is marked "Launch Ready" (see Section 3). Your selected monthly billing cycle will automatically begin on the day after the end of your free trial.
  • Payment Grace Period & Suspension: If a monthly payment fails, the Client is provided a five (5) calendar day grace period to update their payment credentials. On day six (6), if the account remains past due, the website will be temporarily suspended and replaced with a service notice until the balance is resolved. Continued non-payment beyond 30 days will be treated as an Early Cancellation. Stacq is not liable for any lost revenue, traffic, or SEO rankings resulting from a site suspension due to non-payment.

3. Review Process and Launch Readiness

To ensure rapid, accurate migrations, we utilize a strict Quality Assurance (QA) protocol rather than open-ended design revisions.

  • QA Window: Upon delivery of your staging site, you will have a 2-business-day QA window to report any missing links, broken formatting, or parity issues.
  • Launch Ready Status: Once you approve the staging link, or if no feedback is received within the 2-business-day window, the site is automatically marked "Launch Ready."
  • DNS Delays: Delays on the client's end in providing Domain/DNS access do not pause the billing cycle or the 90-day beta period once a site is marked Launch Ready.

4. Launch Integrity Guarantee & SEO

We guarantee that at the time of your live launch, your site will achieve technical parity with your previous site.

  • Technical Parity: We certify that key pages load, SSL is active, forms route correctly, approved widgets load, redirects are implemented, and existing on-page SEO metadata (H1-H6 tags, alt-text) is successfully carried over.
  • SEO Disclaimer: Search engine rankings are determined by Google and other algorithms outside of our infrastructure's control. While we follow strict SEO preservation best practices during migration, we do not and cannot guarantee SERP (Search Engine Results Page) positions or traffic volumes.

5. Platform Support and Paid Changes

  • Included Support: Your monthly subscription covers platform hosting, automated nightly backups, active site monitoring, security patches, and platform access/availability troubleshooting.
  • Paid Support: Any requests that fall outside of platform maintenance—including layout changes, adding new pages, or integrating new tools after launch—are considered paid requests. These can be fulfilled by purchasing hourly support or discounted Edit Packs.

6. User Access and the "Expert Access" Waiver

We provide strict role-based permissions so your internal team and external marketers can edit content without breaking the site layout.

  • Safe Access: Standard roles (“Basic Human Access” or “Basic AI Agent Access”) allow users to safely update text, swap media, and manage blogs.
  • Advanced AI Agent Access: This level of access is specifically designed for AI Agents, allowing them to do everything they would normally be able to with basic access, but also allowing them to republish the site once they are done making changes.
  • Expert Access: If you require unrestricted code, design, and layout control for a developer or trusted professional, you may request "Expert Access."
  • Liability Waiver: Because Expert Access bypasses our platform’s built-in safety nets, granting this level of access explicitly voids our Launch Integrity Guarantee. Any layout repairs, structural fixes, or troubleshooting required due to edits made by users with Expert Access will not be covered by our included free support and will require a paid hourly support package to resolve.

7. Ownership and Intellectual Property

  • Your Property: You retain 100% ownership of your domain name, logos, written content, images, and client data. We will never hold your digital property hostage. If you leave Stacq, your domain and content leave with you.
  • Our Property: Stacq retains ownership of the underlying component framework, platform configurations, and proprietary migration processes used to host and deliver the site. We will not directly transfer the site out for you. If you wish to leave, it will need to be manually migrated/rebuilt on your platform of choice.

8. Limitation of Liability

Stacq provides infrastructure and governance, but we cannot control third-party software, registrar outages, or internet-wide disruptions. To the maximum extent permitted by law, Stacq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or SEO rankings incurred by the Client.

9. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Active clients will be notified of any material changes that affect their service, pricing, or guarantees.
